Agreement Summary

NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (the “Agreement”) is made between the undersigned party (the “Receiving Party”) and Tech4Life & Beyond LLC (the “Disclosing Party”). This Agreement governs the terms under which confidential and proprietary information may be disclosed for the purpose of evaluating a potential business relationship involving product licensing.

1. PURPOSE

Confidential information is shared solely for evaluating a potential business relationship related to innovations and products created by Tech4Life & Beyond LLC.

2. CONFIDENTIAL INFORMATION INCLUDES

  • ✦ Technical designs, prototypes, and specifications
  • ✦ Business strategies and financial data
  • ✦ Marketing materials and licensing documents
  • ✦ Any proprietary information shared verbally or in writing

3. OBLIGATIONS OF RECEIVING PARTY

  • ✦ Keep all shared information confidential
  • ✦ Use information only for evaluation
  • ✦ Do not disclose to third parties
  • ✦ Take reasonable steps to protect confidentiality

4. TERM & TERMINATION

This Agreement is effective for five (5) years from the signing date. Obligations of confidentiality remain in force for five (5) years after termination.

5. NO LICENSE GRANTED

No rights or licenses are granted by this Agreement, except the limited right to evaluate the opportunity.

6. NO OBLIGATION TO PROCEED

This Agreement does not obligate either party to enter into any future business relationship.

7. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida, United States.

8. ENTIRE AGREEMENT

This Agreement represents the entire understanding between the parties and supersedes prior communications or agreements.

9. SIGNATURES
